Customer Terms & Conditions

Payment Terms
Upon approved credit, the following term applies: net 30 from date of invoice. The postmark date of your envelope will determine the allowable cash discount. A 1.0% per month interest charge will apply to all past due accounts. Accounts over 30 days will be subject to a hold. Accounts over 90 days will be turned over for collections. The buyer will be liable for any legal fees incurred by WattStopper in the event legal action becomes necessary to collect past due accounts.

Prices
All prices are subject to change without notice. Federal, state, and local taxes, if applicable, are not included in published or quoted prices.

Quotations
All quotations, bids, contracts, and orders are subject to final written approval, or acceptance and acknowledgement by WattStopper with the condition that all noted terms and conditions apply. Quotations will be firm for sixty (60) days. Prices acknowledged on deferred or hold orders will be firm for ninety (90) days.

Minimum Order
The minimum acceptable order is $50.00. There are no exceptions to this policy.

Transportation Charges
All prices are F.O.B. shipping point with transportation prepaid and allowed on orders of $2,500.00 net, or more, within the continental United States. All authorized stocking distributors' transportation will be prepaid on orders of $1,000.00 net or more. Orders already processed and sent out cannot be combined with another order to get the prepaid shipping.

The minimum shipping charge on all orders is $9.00. UPS / Federal Express next day and second day is to be paid by customer. Shipments to Hawaii or Alaska will be prepaid to any port of debarkation in Oregon, California, or Washington. Routing and means of transportation will be at Watt Stopper/Legrand's selection. If an alternative method of shipping is requested, the purchaser assumes any extra charges.

Force Majeure
The seller shall not be liable in any respect for failure or delay in the fulfillment or performance if the contract is hindered or prevented, directly or indirectly, by war, conditions of war, acts of enemies, national emergency, sabotage, revolution, or other disorders, inadequate transportation, inability to secure raw materials or supplies, fuel, or power; fire, windstorm, or other acts of God, strikes, lockouts, or other labor disturbances, orders or acts of any authority, or any cause of like or different kind beyond the reasonable control of the seller.

 

 

Notice
Not withstanding delivery of goods, no terms or conditions in communications from the Buyer shall be binding on the Seller unless specifically accepted in writing, and signed by the Seller.

The terms of this document shall not be modified or changed in any manner except upon the written consent of the Seller. This document contains all the terms, warranties, and conditions respecting a transaction and cannot be changed by any oral statement of any agent, offer, or representative of the Seller.

Loss or Damage in Transit
Any goods damaged or lost in transit must be so noted on the delivering carrier's freight bill. Rates are determined in proportion to the damage liability; therefore, the carrier, and not the shipper, should be charged with all loss or damage. WattStopper will do everything to assist the Buyer. Replacement goods must be ordered and paid for by the consignee. The Buyer shall not withhold payment of invoices pending settlement of claims. Shipment must be unloaded promptly as Watt Stopper/Legrand will pay no demurrage.

Buyer must examine the merchandise upon delivery and must report all apparent error or defects to the Seller within ten (10) days of said delivery; otherwise, it shall be conclusively presumed between Seller and Buyer that the merchandise has been delivered as specified in the contract.

Returns
All requests to return unused merchandise must be made within six (6) months from the date of invoice. No products will be accepted for return unless accompanied by a Return Goods Authorization, which can only be obtained from WattStopper Customer Service office. A restocking and rework charge will be made on all returns for credit. Merchandise may be returned for repairs under warranty at no charge. If repairs or reconditioning costs are involved, this cost will be assessed in addition to the restocking charges. No specifically fabricated, custom, or modified items are returnable for credit and such orders are non-cancelable after acceptance by WattStopper.

Credit Limits
Upon approval of credit, the Credit Manager will determine credit limit.

Safety
All goods should be installed, commissioned, and maintained by suitably qualified personnel in accordance with the latest edition of the National Electrical Codes and any other Code of Practice or Statutory requirement, which may be enforced from time to time and in accordance with accepted practice in the industry or locally.

Any information which is required about the potential use or installation of any goods is available upon request and the customer must comply with any such information given.
